Terms & Conditions

These Terms & Conditions (the “Terms”) govern your use of Bedside One (“Bedside”) - the platform for caregiving agencies and professionals operated by Kaelor Technologies LLC (“Kaelor”, “we”, “us”, or “our”), including the Bedside Admin web portal, the Bedside Caregiver mobile app, and this website at bedsideone.com (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Bedside One provides caregiving agencies with tools to manage day-to-day operations - including scheduling, shift management, and team coordination - through an admin web portal and mobile applications for caregivers and administrators. The Service is under active development, and features may change, be added, or be removed over time.
2. Accounts and access
Access to the Service is provided through caregiving agencies. Your agency creates and manages your user profile, and your use of the Service is also subject to any applicable agreement between your agency and Kaelor. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at support@bedsideone.com if you suspect unauthorized use of your account.
3. Acceptable use
When using the Service, you agree not to:
- Use the Service in violation of any applicable law or regulation.
- Access or attempt to access accounts or data belonging to others without authorization.
- Interfere with or disrupt the operation or security of the Service.
- Copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.
4. SMS text messaging terms
Bedside offers optional SMS text message notifications, including shift clock-in and clock-out reminders, and shift change notifications.
- Opt-in. You receive SMS notifications only if you enable them in the Bedside app after signing in to your account. Consent to receive SMS messages is not a condition of using the Service.
- Message frequency varies depending on your schedule and shift activity.
- Message and data rates may apply. Charges are billed by your mobile carrier according to your mobile plan.
- Opt-out. You can stop receiving SMS messages at any time by replying STOP to any message, or by disabling SMS notifications in the app. After you opt out by replying STOP, you may receive a single message confirming your opt-out.
- Help. Reply HELP to any message, or contact us at support@bedsideone.com, for assistance.
- Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages.
For details on how we handle your phone number and opt-in data, see our Privacy Policy. Mobile information is never shared with third parties or affiliates for marketing or promotional purposes.
5. Intellectual property
The Service, including its software, design, and content (excluding content provided by agencies and users), is owned by Kaelor and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
6. Disclaimer of warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that notifications (including SMS messages) will be delivered on time or at all. The Service is an operations tool and does not provide medical advice.
7. Limitation of liability
To the maximum extent permitted by law, Kaelor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed one hundred U.S. dollars (US $100) or the amount you paid us to use the Service in the twelve months before the claim, whichever is greater.
8. Termination
We may suspend or terminate your access to the Service if you violate these Terms or if your agency's access to the Service ends. You may stop using the Service at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and post the updated Terms on this page. Material changes may also be communicated through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Sacramento County, California.
